Acting for the purchaser’s Ukrainian subsidiary (borrower) in planning and structuring the loan transaction, drafting and negotiating the loan and various security agreements, fulfillment of conditions precedent, including registration of the loan agreement with the National Bank of Ukraine, handling of complicated transaction – related currency control issues, drafting a legal opinion for the lender and performance of conditions subsequent of the transaction.

Advising the client on hedging of the loan-related risks, drafting and negotiating the interest rate swap agreement with Hypo Real Estate Bank International AG, drafting a legal opinion regarding such agreement.
