Due Diligence Review in the Context of Sale and Purchase of Enterprises
On June 30, 2010, a workshop on “Sale and Purchase of Enterprises. Due Diligence Review: Types, Stages, Risk Assessment, and Presentation of Results” was held in the LIGABusinessInform Press Center.
The seminar was organized by the Audit Company “Aksonova & Associates,” LIGA: Zakon, and Vasil Kisil & Partners Law Firm.
The workshop brought together representatives of major Ukrainian and international companies operating in the fields of metallurgy, telecommunications, food industry, power engineering, transport and agriculture, and representatives of the investment and advisory businesses. Such a wide range of industries shows that the matter at hand is relevant virtually for all types of business.
Anna Babych, Counsellor at the Corporate / M&A Practice Group of Vasil Kisil & Partners Law Firm, described for the attendees about the conduct of Due Diligence Review as a basis for key management decision making and, in particular, gave a detailed insight into the basics of legal due diligence organization, its various types, stages, cooperation between participants, and presentation of legal due diligence results. Anna separately reviewed the peculiarities of Vendor Due Diligence.
In her analysis of the most important issues related to the activities of target companies, Mrs. Babych emphasized that it was necessary to use an integrated approach and take into account a wide range of issues, such as corporate, regulatory issues/licensing, rights in respect of key assets, financing, material commercial obligations, intellectual property rights, labor issues, legal proceedings, etc. In addition, Mrs. Babych outlined risk assessment rules resulting from the legal due diligence, and its impact on deals.
Olena Makeieva, Director General of Audit Company “Aksonova & Associates,” disclosed the peculiarities of Financial and Tax Due Diligence Reviews.
The workshop attendees showed a great interest in the issues during the discussion time and found expert recommendations rather informative and useful in practical application. Acting at the time when businesses were being restored from economic recession, a lot of companies having plenty of money decide in favor of development through the acquisition of other companies. Therefore, conduct of Due Diligence Review has currently become an evermore-pressing issue that arouses keen interest among independent legal practitioners and in-house counsels.
