Nataliya Mykolska shares contractual and commercial mechanisms that may be used to prevent parallel imports with 5th Annual Conference of the International Distribution Institute attendees
Turin, ITALY 11-12 June 2010. Nataliya Mykolska, senior associate with Vasil Kisil & Partners and IDI national expert for franchising for Ukraine, speaks at the Annual Conference of the International Distribution Institute (IDI).
Two-day 5th Annual conference in Turin, organized by the IDI in collaboration with the European Company Lawyers Association (ECLA), the Italian member association of ECLA (Associazione Italiana Giuristi di Impresa: AIGI), the Piedmont Arbitral Chamber and ICC (International Chamber of Commerce), dealt with critical issues in international distribution, agency and international franchising.
The regional IDI experts and more than 100 attorneys from more than 20 countries took part in the Conference.
The first day was dedicated to the new European rules on vertical restraints and dealing with insolvency of distributors/franchisees, during which some critical issues which arise when a member of the network who buys and resells (distributor, dealer, direct or master franchisee) faces financial problems which may result in insolvency and, in the worst case, bankruptcy.
On the second day of conference (Saturday June 12) participants were offered to attend one of the following workshops:

- International arbitration and distribution: how to make it effective;
- Parallel imports and trademark protection;
- How to obtain and maintain control over the location of the sales outlet.
Taking into account significant experience and expertise of servicing franchising and distribution agreements of Mrs. Mykolska, was invited by the organizers to speak at the parallel import and trademark protection workshop. In her presentation Nataliya concentrated on the remedies available in Ukraine against parallel import including customs control, competition remedies. In addition Mrs. Mykolska covered effective contractual and commercial mechanisms that may be used to prevent parallel imports.
Nataliya Mykolska noted: “It is well-known that major reasons for parallel import is preference, price and shortage. Therefore, quite often the producers or principals with their own hands create traps for themselves and their distributors”
